Agreement ID: LXA-AGMT-V1.0

Article 1: General Provisions

1.1 This Agreement is entered into by and between the LongXiao Platform (hereinafter referred to as the "Platform," "we," "us," or "Company") and the individual or entity applying to become an affiliate promoter of the Platform (hereinafter referred to as the "Affiliate," "you," or "your"). By clicking to accept this Agreement and submitting an affiliate application online, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions set forth herein.

1.2 This Agreement governs all promotional activities conducted by you through the LongXiao Affiliate System (Powered by LongXiao Affiliate), including but not limited to referral link generation and distribution, visit tracking, order conversion, commission settlement, and balance withdrawal.

1.3 The Platform reserves the right to modify this Agreement at any time as business needs require. Any modifications will become effective upon publication on the Platform. Your continued use of the affiliate program services after such modifications constitutes your acceptance of the revised Agreement.

Article 2: Application and Approval

2.1 Eligibility: Applicants must be legally registered users of the Platform with full legal capacity. If the Platform has enabled self-registration (the allow_registration setting is ON), users may submit an affiliate application online. If self-registration is disabled, affiliates must join through alternative means specified by the Platform.

2.2 Application Information: When submitting an affiliate application, you must truthfully provide all required information, including your reason for applying (which must comply with the Platform's specified minimum and maximum character length limits) and your website URL. You warrant that all information provided is true, accurate, and complete, and you agree to update it promptly in the event of any changes.

2.3 Manual Review: If the Platform has enabled manual affiliate approval (the require_approval setting is ON), your submitted application will enter a pending review status. The Platform reserves the right to approve or reject applications based on factors including but not limited to your activity level on the Platform, historical transaction records, and qualifications. The review result will be communicated to you via in-site notification and email.

2.4 Review Outcomes:

  • Approved: Your status will be changed to "active," and you will become an official affiliate of the Platform, authorized to commence promotional activities immediately.
  • Rejected: Your status will be set to "rejected." Rejected applicants may resubmit their application after updating their information; the previous application record will be overwritten.

2.5 Status Changes: The Platform may adjust your affiliate status based on your compliance with promotional rules as follows:

  • Active: Normal promoting status.
  • Inactive: The Platform may set your status to inactive due to violations of this Agreement, prolonged inactivity, or other legitimate reasons. Inactive affiliates may apply to the Platform for reactivation.
  • Rejected: Rejected due to serious violations or failure to meet qualification requirements.
  • None: No application submitted or application has been deleted.

2.6 Status change notifications will be sent to you via in-site notification, email, or WeChat notification, depending on the Platform's configuration.

Article 3: Promotional Rules and Methods

3.1 Referral Link Parameter: The Platform uses the fixed parameter name "ref" as the tracking identifier for referral links. Your generated referral link follows this format: targetURL?ref=userID.

3.2 Campaign Tracking Parameter: You may append a custom campaign parameter to your referral links to distinguish between different promotional channels, marketing campaigns, or content categories. This parameter is recorded in full in the visit logs for subsequent data analysis.

3.3 Cookie Tracking Mechanism: When a user visits the Platform through your referral link for the first time, the system will set a cookie in the user's browser valid for the number of days specified by the Platform (the cookie_days setting, default 30 days). Any order placed by that user within the cookie's validity period that meets the commission calculation rules will be attributed to you.

3.4 Last Referral Attribution: If the Platform has enabled the last-referral credit rule (the referral_credit_last setting is ON), when the same user is referred by multiple affiliates' links in succession, the commission will be attributed exclusively to the affiliate of the last referral.

3.5 Promotional Channel Restrictions: You shall not engage in promotion through illegal or unethical means, including but not limited to spam emails, false advertising, malicious pop-ups, or forced redirects. You shall not use domain names or links that are confusingly similar to the Platform's trademarks or brand names. You shall not employ hacking techniques, cheating programs, or automated scripts to generate fraudulent visits or fake orders.

Article 4: Creative Materials Usage Guidelines

4.1 Material Types: The Platform provides three types of creative materials for affiliate use: images, QR codes, and links. You may obtain materials with an "active" status from the "Creative Materials" page in your affiliate dashboard.

4.2 Usage Rights: You are authorized to use the Platform's creative materials exclusively within the scope of promotion defined in this Agreement. You shall not modify, crop, overlay watermarks on, or use the materials for any purpose unrelated to Platform promotion.

4.3 Material Deactivation: The Platform reserves the right to set any creative material to "inactive" status at any time. Upon deactivation, you must immediately cease using the affected material. Any legal risks arising from continued use after deactivation shall be borne solely by you.

Article 5: Commission Settlement Rules

5.1 Commission Calculation Types: The Platform supports two commission calculation methods, determined by Platform configuration:

  • Percentage Commission: Calculated as a set percentage of qualifying order merchandise amounts, with a default rate of 10%.
  • Flat Commission: A fixed commission amount per qualified order.

5.2 Commission Calculation Base: The commission is calculated based on the merchandise amounts in qualifying orders. The system will apply the following exclusion rules in sequence:

5.3 Exclusion Rules:

  • (a) Unpaid Orders: Orders that have not been fully paid or whose payment has not been confirmed are excluded from referral conversions.
  • (b) Free/Zero-Value Orders: Orders with a total amount of zero (including free products or orders discounted to zero) are excluded from referral conversions.
  • (c) Coupon Deductions: When enabled, coupon discount amounts are deducted from the commission calculation base.
  • (d) Shipping Fees: When enabled, shipping costs are excluded from the commission calculation base.
  • (e) Excluded Products: Products specifically designated by the Platform are excluded from commission calculation.
  • (f) Self-Referral Exclusion: If the Platform has disabled self-referral (the allow_self_referral setting is OFF), orders placed by you for yourself through your own referral links will not earn commission.

5.4 Commission Statuses:

  • Unpaid: The order has converted successfully but has not yet been reviewed and disbursed. The commission is temporarily recorded as unpaid earnings.
  • Paid: The Platform has reviewed and approved the conversion, and the commission has been credited to your balance account.
  • Rejected: The Platform has determined the referral conversion to be invalid, and the commission will not be paid.
  • Refunded: The order corresponding to the referral has been refunded, and the commission has been deducted.

5.5 Commission Disbursement: When a referral record's status changes from "unpaid" to "paid," the Platform will automatically transfer the commission amount to your balance account and notify you via in-site notification and email. Concurrently, the Platform's points system may award you affiliate referral points (of the affiliate_referral points type) according to the Platform's configuration.

5.6 Cookie Validity Period: The cookie from your referral link is valid for the number of days configured by the Platform (default 30 days). Visits occurring after the cookie's expiration will no longer be attributed to you.

Article 6: Anti-Fraud and Abuse Prevention

6.1 Fraud Prevention Mechanism: The Platform has enabled an anti-fraud protection system (the anti_fraud_enabled setting is ON by default) that automatically identifies abnormal promotional behavior. Specific protective measures include:

6.2 IP Frequency Limiting: The maximum number of visits from a single IP address within a specified time window (the anti_fraud_minutes setting, default 60 minutes) is capped (the anti_fraud_ip_limit setting, default 1 visit). Visits exceeding this limit will be blocked by the system and will not be counted toward promotional statistics.

6.3 Device Fingerprint Detection: If the Platform has enabled device fingerprint checking (the anti_fraud_device_check setting is ON), the system will detect visit frequency for combinations of the same device type, browser, and operating system within the time window. When the number of visits from the same device fingerprint to the same referral link within the time window exceeds the device frequency limit (the anti_fraud_device_limit setting, default 1 visit), subsequent visits will not be recorded.

6.4 Consequences of Violation: If the system detects or the Platform determines through manual review that fraudulent or cheating activity has occurred, the Platform reserves the right to unilaterally take one or more of the following actions: (a) reject the corresponding order's referral conversion; (b) deduct any commission already paid and associated balance; (c) set your affiliate status to "inactive" or "rejected"; (d) permanently ban your account.

Article 7: Data and Privacy

7.1 Visit Log Collection: To ensure fairness and traceability of promotional activities, the Platform will record detailed information for each visit arriving through a referral link, including but not limited to: visit URL, referrer source, campaign parameters, IP address, device type (desktop/mobile/tablet), browser type, operating system, visit time, and conversion status. You acknowledge and consent to the collection and use of the above data.

7.2 Data Usage: The data described above is used exclusively for commission calculation, fraud analysis, and operational statistics. The Platform will not use this data for any purpose outside the scope defined in this Agreement.

7.3 Personal Data Protection: The Platform protects your personal information and that of referred users in accordance with applicable laws and regulations. No data will be disclosed to third parties without proper authorization.

Article 8: Termination and Breach of Agreement

8.1 Voluntary Withdrawal: You may apply to withdraw from the affiliate program at any time. Upon withdrawal, any unpaid commissions already earned will continue to be settled in accordance with this Agreement, but no new promotional earnings will accrue.

8.2 Termination by the Platform: If you violate any term of this Agreement, the Platform has the right to terminate this Agreement immediately and to take the remedial measures set forth in Article 6.

8.3 Post-Termination Obligations: Upon termination of this Agreement, you must immediately cease using all referral links and creative materials and must not engage in any activities as an affiliate of the Platform.

Article 9: Disclaimer

9.1 The Platform shall not be liable for any delay or loss of promotional data caused by system maintenance, upgrades, or third-party service interruptions, including but not limited to GraphQL API services, payment gateways, and CDN services.

9.2 Neither party shall be held liable for failure to perform its obligations under this Agreement if such failure is caused by force majeure events, including but not limited to natural disasters, war, governmental actions, or internet service provider failures.

Article 10: Miscellaneous

10.1 This Agreement constitutes the entire agreement between the parties with respect to the affiliate program and supersedes all prior oral or written agreements, understandings, or arrangements relating to the same subject matter.

10.2 The formation, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. Any dispute arising from or in connection with this Agreement shall first be resolved through friendly negotiation. If negotiation fails, either party may submit the dispute to the competent court in the Platform's locality.

10.3 You confirm that you have carefully read all the terms of this Agreement, fully understand its content — especially those terms that limit or exclude the Platform's liability — and voluntarily accept this Agreement.
